Economy and law make a strong combination, we are proud to have a solid background in those legal areas that surround accounting.  There are three main legal venues – besides tax law – where we generally provide assistance to our clients.

Company formation in Sweden

  • We help you explain the differences between the various company forms and choose the one that is most suitable for your needs.
  • Should you opt for a limited company  ( AB ) , we can help you register it from scratch but we can also help you purchase a so called shelf company ( ready made empty company ). When purchasing a shelf company the setup takes much less time as there is no need to open a bank account in the process, which can be extremely time consuming for foreigners.
  • We can even provide registered address + scanning for you as well as the positions of delivery agent ( if nobody in the Board is domiciled in Sweden ) and Deputy Board Director.
  • In case your future Board does not comply with EU residency requirements, we help you to file a request for exemption.

Swedish corporate law

  • We help you create and update a digital book of shares ( aktiebok ) and letter of shares. Each limited company is obliged to keep a book of shares and keep it available to the public, non-compliance with this is a criminal offense in Sweden.
  • We can assist you in decreasing or increasing share capital in a limited company, and we help you implement minor mergers or dissolutions.
  • We represent you before Bolagsverket, handing in all the statements that are prescribed by law.
  • With the assistance of our partners, we help you with voluntary liquidations in the event you plan to voluntarily dissolve your company.

Swedish labour law

  • General consultancy in the field of labor law ( labor contracts, rules concerning notices, termination, dismissal ).
  • Interpretation of the collective agreement if you have any, verifying if you need to enter into obligatory insurance agreements on the basis of the collective agreement.
  • Redundancy rules
  • We help you draft employment agreements, or we provide a second opinion on existing ones.
  • We help you to tax register your foreign EU employees, and through our partners we can facilitate the residence permit process for your non-EU employees.
